Hardware Pool terms

How seats, robot loans and the refundable deposit (Kaution) work at the Berlin node.

Who you contract with

The Berlin node of the Robo Guild Hardware Pool is run by Alex Adamov Digital Services, Alexander Adamov, Klarastraße 3, 12459 Berlin (“the node”). The node owns and lends the robots. The Robo Guild community on Discord is free, worldwide, and not part of this contract. Other nodes are run by their own stewards under their own terms.

How the contract is made

  1. On the node page, click the button to buy a seat. It opens Stripe's checkout page.
  2. Enter your email, name and billing address, choose when your seat should start, choose a payment method from those shown, and tick the box to accept these terms.
  3. Check your entries. Until you click the pay button you can correct any field on the checkout page, or leave without buying using your browser's back button.
  4. Clicking the pay button is your binding order. The contract is made when Stripe confirms your payment.

Your seat starts straight after payment, or on day 15 if you chose to start after the 14-day withdrawal period. The contract language is English; the withdrawal notice is also given in German. On the day you buy, we email you a confirmation with these terms and the withdrawal notice. Keep it: we do not keep your contract text available for you here, though the current terms are always on this page.

Founding seat

A one-time payment of €290. Limited to 10 people. A founding seat gives access to the node's whole fleet, including robots added later, for as long as the Berlin node operates. If the Berlin node closes for good, we tell founding members at least three months in advance, and founding seats end on the closing day.

All prices are total prices. As a small business under § 19 UStG, the node does not charge VAT.

Later seats

After the founding seats are taken, seats are offered only yearly at €190 or monthly at €19 plus a one-time €49 no-freeloader fee, under terms published at that time. Monthly seats can be cancelled at any time to the end of the paid month. Yearly seats run for one year; after they renew, they can be cancelled at any time with one month's notice. Right of withdrawal

Consumers have a 14-day right of withdrawal. The German notice below is binding; the English text after it is a courtesy translation. You can withdraw online at /withdraw, by email or by post.

Wenn Sie diese Online-Funktion nutzen, übermitteln wir Ihnen auf einem dauerhaften Datenträger (z. B. durch eine E-Mail) unverzüglich eine Eingangsbestätigung mit Informationen zum Inhalt der Widerrufserklärung sowie dem Datum und der Uhrzeit ihres Eingangs.

Folgen des Widerrufs

Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.

Haben Sie verlangt, dass die Dienstleistungen während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht.

Right of withdrawal

You may use the model withdrawal form below, but it is not obligatory. You can also exercise your right of withdrawal online at https://theroboguild.com/withdraw. If you use this online function, we will send you, without delay and on a durable medium (e.g. by email), an acknowledgement of receipt with the content of your withdrawal statement and the date and time it was received.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which your communication of withdrawal from this contract reached us. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested that the services begin during the withdrawal period, you shall pay us a reasonable amount. It corresponds to the share of the services already provided up to the time you inform us that you are exercising the right of withdrawal from this contract, compared with the full scope of the services provided for in the contract.

Special note on early expiry of the right of withdrawal

For a contract for services for which you pay a price, your right of withdrawal ends when we have fully provided the service, if before we started you expressly agreed that we may begin before the withdrawal period ends, and you confirmed that you know your right of withdrawal ends once we have fully performed the contract.

What a seat includes

Every seat (founding, yearly or monthly) includes use of the node's robot fleet, take-home loans under the rules below, and priority places at Builder Salons (small evenings with limited places). A founding seat also includes access to robots added later, a vote on robot five and every robot after it, first pick when two members book the same robot for the same Guild Night, and your name in the fleet register. Yearly and monthly seats include neither the vote, first pick nor the register entry. Guild Nights at Motion Lab Berlin are open to every Guild member and are not part of a paid seat. The node lends the robots in its fleet and nothing else: no spare parts, components, electronics or consumables.

The node uses founding-seat payments to buy the robots marked “Next up” on the node page, in the order shown. Each robot is ordered within 30 days of founding-seat payments covering its price. If not enough seats sell to buy every robot on the list, the payments buy as many as they cover, in the order shown.

Robot loans and Kaution

Bookings are made in the node's Discord channel. If you cannot or do not want to use Discord, book by email to roboguild@protonmail.ch and we handle it the same way. Members can borrow a robot at one Guild Night and return it at the next. Each loan needs a refundable deposit (Kaution) of roughly the robot's value, set per robot. The Kaution for each robot is its value as shown on the node page. It is paid by bank transfer or in cash when you collect the robot, and returned the same way within seven days of the robot coming back. The Kaution is returned in full when the robot comes back complete and working, apart from normal wear. If a robot is lost or damaged beyond normal wear, the node may keep the part of the Kaution needed to repair or replace it. Tell the node the same day if something breaks.

Conduct

Members follow the charter. Inactivity is not a breach: being quiet in the Guild's Discord never ends a paid seat. The node may end a paid membership for serious or repeated breaches of these terms, the loan rules or the community rules (for example harassment, threats or unsafe use of a robot), after a written warning, and without warning where we cannot reasonably be expected to continue, such as violence or theft. If we end a yearly or monthly seat this way, prepaid fees for the time not yet used are refunded.

Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act (Produkthaftungsgesetz). For slight negligence we are liable only for breach of an obligation whose fulfilment makes the contract possible in the first place and on which you may regularly rely (a material contractual obligation), and then only for the foreseeable damage typical for this kind of contract. Otherwise our liability for slight negligence is excluded.

Robots are open-source hobby and research hardware. Use them as the project's documentation describes, and supervise them while they run.

You are liable for loss of or damage to a borrowed robot only if you caused it intentionally or negligently. Normal wear is never your responsibility.

Law

German law applies. If you are a consumer, this does not remove the protection of the mandatory law of the country where you live.
